Welcome to Gryfl. These Terms of Use ("Terms") govern your access to and use of Gryfl's B2B SaaS platform, applications, websites, content, and related services (collectively the "Services"). By accessing or using the Services, you agree to be bound by these Terms.
Gryfl provides a technology platform, including dashboards and whitelabeled mobile applications, that enables travel agencies, corporate transportation divisions, and fleet operators ("Partners") to arrange, dispatch, and manage transportation services with independent drivers and end-users. Gryfl is a technology provider, not a transportation carrier.
Subject to your compliance with these Terms and applicable subscription agreements, Gryfl grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferrable license to access and use the platform solely in connection with your business operations.

As a Travel Agency or Fleet Partner using Gryfl's Platform, you agree that:
SaaS Fees: Access to the Gryfl Partner Dashboard and Whitelabeled Apps is subject to the SaaS subscription fees agreed upon in your Service Agreement.
End-User Payments: Gryfl facilitates payment processing for end-users on behalf of the Partner via integrated third-party payment gateways (e.g., Stripe, Razorpay). Gryfl is not responsible for funds held or delayed by these payment gateways.
Cancellations & Refunds (Rider Level): Partners define their own cancellation policies for their end-users. Any refund disputes between a Rider and the Partner must be resolved directly between those two parties. Gryfl's platform tools facilitate the deduction of cancellation fees per the Partner's custom settings.
Disclaimer: The Services are provided "as is" and "as available." Gryfl disclaims all representations and warranties, express, implied, or statutory, not expressly set out in these terms, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability: Gryfl shall not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost data, personal injury, or property damage related to, in connection with, or otherwise resulting from any use of the services.
You agree to indemnify and hold Gryfl and its officers, directors, employees, and agents harmless from any and all claims, demands, losses, liabilities, and expenses (including attorneys' fees) arising out of or in connection with: (i) your use of the Services or services obtained through your use of the Services; (ii) your breach or violation of any of these Terms; or (iii) your violation of the rights of any third party, including drivers and end-users.
These Terms are governed by and construed in accordance with the laws of India. Any dispute, conflict, claim, or controversy arising out of or broadly in connection with or relating to the Services or these Terms, including those relating to its validity, its construction, or its enforceability, shall be subject to binding arbitration located in New Delhi, India.
